Terms of Sale for consumers and business customers

1 Seller and scope

The website standelite.com is operated by STANDELITE, a French simplified joint-stock company (SAS) with share capital of EUR 1,000, registered office at 61 rue de Lyon, 75012 Paris, France, registered with the Paris Trade and Companies Register under number 988 490 959. VAT identification number: FR44988490959. Email: contact@standelite.com. Telephone: +33 7 67 07 48 87.

These terms govern sales of standard and personalised products offered on the website and sales under quotations expressly referring to them. Common provisions apply to all customers. Consumer and business provisions apply only to the relevant customer category. No provision removes any mandatory legal protection.

2 Products and personalisation

The essential characteristics, dimensions, materials, intended uses, included components and restrictions are set out on each product page or quotation. Accessories, design services, installation and transport are included only where expressly stated. Images cannot override the contractual characteristics described. Some presentation or lifestyle images are generated or retouched using artificial intelligence and are identified accordingly. They must not misrepresent characteristics, included accessories, dimensions or the expected result. The product description, accepted quotation and approved artwork proof remain binding.

A standard product has predefined characteristics and artwork. A personalised product is made to the customer’s specifications or clearly personalised for them. Manufacturing an item only after an order is placed does not, by itself, make it personalised.

3 Prices and charges

Prices intended for consumers are stated in euros including applicable taxes. Delivery charges and paid options are disclosed before the customer commits to the purchase. Business quotations distinguish the net amount, VAT and total including tax. The total applicable to the order is shown before confirmation.

Prices may change for future orders. The price accepted when the contract is concluded remains applicable to that order. Discounts, their validity and conditions are specified in the offer. No additional paid service is added without the customer’s express agreement.

4 Orders and acceptance

The customer selects products and options, checks the order summary, corrects any errors, reviews these terms and confirms the obligation to pay. An email confirmation contains the order summary and contractual terms on a durable medium.

For sales by quotation, the contract is concluded in accordance with the acceptance procedure and validity period stated in the quotation. The start of production is distinct from contract formation: production starts after full payment has been received and, where required, the artwork proof has been approved. Electronic contracts are archived in accordance with legal requirements, including those at or above the statutory value threshold. Customers may request access at contact@standelite.com.

Performance of the order

5 Artwork files and approval

The customer prepares their file using the product template available for download on the website and follows the stated dimensions, margins, bleed and safe areas. If no template is available when the order is placed, Standelite sends it by email afterwards. The customer waits for the template before preparing the final file. The customer warrants that they hold the rights or authorisations needed to reproduce all text, images, logos and other content supplied. Before production, the customer checks the text, dimensions, colours and positioning in the artwork proof, known as the BAT in French. Approval must be express; silence is not approval. The preparation period of fifteen working days starts after full payment and, where required, approval of the artwork proof.

Approval does not release Standelite from its obligation to supply goods conforming to the approved proof. An execution error by Standelite cannot be attributed to the customer. Any particular colour requirement needs a reference and prior technical agreement where this service is offered. Standelite may use professional partners and remains responsible for its commitments to the customer.

Changes requested after approval are subject to feasibility checks and, where necessary, a revised price and timeframe for the customer to accept. Standelite requires separate permission to use the customer’s designs or logos for promotional purposes.

6 Payment

Payment is by bank card or bank transfer. Full payment must be received before production and, for personalised products, before the preparation period starts, which also requires artwork approval. For bank transfers, Standelite provides the bank details and the order reference to include. Do not email card numbers or security codes.

This rule also applies to quotations. Instalment payments or deposits allowing production to start are not offered.

7 Availability and timeframes

Orders are prepared within a maximum of fifteen working days after full payment and, where required, artwork approval. After dispatch, the announced delivery time is two working days in metropolitan France, subject to the territorial conditions on our Deliveries page. European delivery times are detailed by destination on that page, which is accessible before purchase. The applicable total delivery date or period is communicated before order confirmation.

For a dated event, the customer provides the event date before ordering. Any commitment to deliver before that event must be confirmed in writing by Standelite. Products with customised sizes and/or shapes may require a specific timeframe, stated on the product page or quotation and accepted before purchase. Any other exception to the usual timeframe is also disclosed before purchase. Unavailability is communicated promptly and no substitute product is imposed.

8 Delivery and receipt

Delivery is to the agreed address. The customer checks the information provided. Additional charges resulting from an address error attributable to the customer are substantiated and communicated before reshipment.

Customers are invited to check their parcel and report any issue promptly. Photographs can help resolve it. Failure to provide photographs or to report within forty-eight hours does not remove a consumer’s statutory warranty rights.

Consumer provisions

9 Delays and transfer of risk

Standelite is responsible for proper performance of distance sales in accordance with the law. Where the carrier is offered by Standelite, the risk of loss or damage passes to the consumer when they, or a third party they nominate, physically receive the goods. A carrier independently chosen by the consumer is subject to the specific legal rules.

In the event of delay, consumers may require performance within an additional reasonable period and then terminate the contract under the conditions laid down by law. Immediate termination is available in the statutory cases, including where the delivery date was an essential condition of the contract. Amounts due are refunded no later than fourteen days after valid termination.

10 Right of withdrawal

For an eligible distance purchase, consumers have fourteen days to notify withdrawal without giving a reason. The period runs from receipt of the goods; where goods from one order are delivered separately, it runs from receipt of the last goods. Statutory rules on calculation and extension of time limits apply.

Withdrawal may be notified by email to contact@standelite.com or by post to STANDELITE, 61 rue de Lyon, 75012 Paris, France, using the form below or any unambiguous statement. Our online withdrawal page provides access to the available electronic notification methods. Exercising a statutory right of withdrawal does not require prior approval.

The consumer sends the goods back no later than fourteen days after notifying withdrawal. Standelite pays eligible return shipping costs and promptly supplies a prepaid label with the receiving details and drop-off instructions. In France, the parcel is deposited at the compatible Chronopost agency indicated in those instructions. Abroad, the customer uses the partner-network point specified for the country and label. No advance payment or deduction from the refund is made for this label. If the label is not received or cannot be used, or no compatible point is accessible, contact contact@standelite.com for a suitable free alternative. Country arrangements are described on the Deliveries page. Return arrangements do not restrict statutory deadlines or rights. Consumers are liable only for diminished value caused by handling beyond what is necessary to establish the nature, characteristics and functioning of the goods, subject to the law.

Standelite refunds amounts due, including the original standard delivery charges, within fourteen days of being informed of withdrawal, using the original payment method unless the consumer expressly agrees to another method without fees. Where legally permitted, the refund may be withheld until the goods have been received or evidence of dispatch is supplied, whichever occurs first. Additional charges for a more expensive delivery option expressly chosen by the consumer are not refunded.

11 Goods excluded from withdrawal

The statutory right of withdrawal does not apply to goods made to the consumer’s specifications or clearly personalised within Article L221-28 of the French Consumer Code. The customer is informed before purchase when the exclusion applies. It does not remove statutory warranties or remedies for improper performance. A predefined design printed after purchase is not excluded solely because it is produced to order.

Warranties and disputes

12 Consumer statutory warranties

Standelite is the seller responsible for the statutory conformity warranty and the warranty against hidden defects. These also apply to personalised products. Contact contact@standelite.com, +33 7 67 07 48 87, or STANDELITE, 61 rue de Lyon, 75012 Paris, France.

Consumers benefit from the statutory conformity warranty for two years from delivery under Articles L217-3 et seq. of the French Consumer Code. They may obtain repair or replacement free of charge under the legal conditions, and a price reduction or termination where the relevant conditions are met. The hidden-defects warranty under Articles 1641 et seq. of the French Civil Code also applies.

The complete mandatory French statutory warranty notice is reproduced below in its original wording. The preceding paragraphs explain the main rights in English.

1° Le professionnel refuse de réparer ou de remplacer le bien ;

2° La réparation ou le remplacement du bien intervient après un délai de trente jours ;

3° La réparation ou le remplacement du bien occasionne un inconvénient majeur pour le consommateur, notamment lorsque le consommateur supporte définitivement les frais de reprise ou d'enlèvement du bien non conforme, ou s'il supporte les frais d'installation du bien réparé ou de remplacement ;

Any commercial warranties are described separately and do not replace or restrict statutory warranties. Normal wear or damage caused by use contrary to the instructions is assessed case by case and does not justify an automatic exclusion of consumer rights.

13 Complaints and consumer mediation

Send complaints to contact@standelite.com with the order reference and a description of the issue. Standelite examines the complaint and advises on the information needed to resolve it.

For purchases delivered in France within its jurisdiction, after a prior written complaint to Standelite remains unresolved, consumers may use the FEVAD Consumer Mediation Service free of charge: BP 20015, 75362 Paris Cedex 8, France, through the form at https://www.mediateurfevad.fr/ or by post, subject to its charter. The request must be submitted within one year of the written complaint and fall within the mediator’s jurisdiction. Mediation does not remove the right to go to court.

The FEVAD service is not presented as covering deliveries outside France. Applicable mandatory consumer protections and remedies remain available for cross-border sales. Consumer mediation does not apply to disputes between businesses.

14 Applicable law

The contract is governed by French law. This choice does not deprive consumers of mandatory protections applicable under private international law, including those of their country of habitual residence where the relevant conditions are met. Disputes are heard by the courts competent under the applicable rules. No exclusive jurisdiction of the Paris courts is imposed on consumers.

15 Personal data and version of the terms

Personal data processing is described in the Privacy Policy available on the website and relevant forms. The applicable terms are those accepted when the contract is concluded. Later amendments do not apply retroactively. Security obligations, liability and force majeure are assessed under the applicable law, without any general exclusion of the seller’s liability.

Business provisions and withdrawal form

16 Business orders

Business customers purchase for the purposes of their activity. The accepted quotation sets out any specific services, delivery and payment terms. It takes precedence for the points expressly agreed, subject to mandatory provisions.

Consumer withdrawal rights do not generally apply to business purchases. Specific legal protections remain reserved, including qualifying off-premises contracts covered by Article L221-3 of the French Consumer Code. Having five employees or fewer does not create a general right of withdrawal for every online business purchase.

Convenience returns or cancellations not covered by a statutory right require Standelite’s written agreement. For personalised orders, the consequences of an amendment or cancellation are assessed according to the contract and costs actually incurred. No new penalty is imposed after contract formation without agreement.

17 Business payment and late payment

Full payment is due before production, by bank card or bank transfer. No early-payment discount is granted unless the offer states otherwise. If an amount due remains unpaid, late-payment interest accrues automatically from the day after the due date stated on the invoice, without a reminder.

The annual rate is the European Central Bank refinancing rate applicable on the first day of the relevant half-year plus ten percentage points, subject to the statutory minimum. A fixed recovery-cost indemnity of EUR 40 is also due per overdue invoice under the legal conditions. Additional recovery costs exceeding that sum may be claimed with supporting evidence. These provisions do not apply to consumers.

18 Business warranties and disputes

Business customers benefit from the warranties and remedies applicable to the sale, including the hidden-defects warranty where applicable. Technical commitments and commercial warranties are those described in the accepted offer. No general forty-eight-hour time limit extinguishes all remedies.

The parties seek an amicable solution without restricting urgent measures or legal remedies. If no agreement is reached, jurisdiction is determined under the ordinary rules. Any specific jurisdiction clause may only be added within the legal conditions and for customers to whom it can validly apply.
